TERMS AND CONDITIONS OF THE PROMOTION "EAT RIDE REPEAT"

1. General Provisions

1.1. The name of this Promotion is — «Eat Ride Repeat» (hereinafter referred to as the "Promotion").

1.2. The purpose of the Promotion is to promote on the Internet information about the services distributed in Zambia under the trademark/brand "Yango"®; as well as to stimulate the use of the mobile application "Yango" sections "Food" and "Taxi" (hereinafter referred to as the Application) and to increase the number of orders using the "Yango" service.

1.3. The Organizer of the Promotional Promotion is: Yango Deli Zam Limited (hereinafter referred to as the "Organizer").

1.4. The Promotion is open to legally competent Zambian citizens permanently residing in Zambia and aged 18 (eighteen) years or older. Employees and representatives of the Promotion Organizer and the service provider distributed in Zambia under the Yango® trademarks, their affiliates, their family members, and employees of other organizations providing services/performing work related to the organization and conduct of the Promotion, as well as their family members, are not allowed to participate in the Promotion.

1.5. The condition for participation in the Promotion is: placing an order in the "Food" / "Taxi" service via the Application from November 18th to December 29th, 2024 for an amount of 150 kwacha in the "Yango Food" service and any amount in the "Yango Taxi" service, excluding delivery costs and service charges.

1.6. The Promotion will be held in the Application and the official "Yango" Community on the social network "Instagram", located at: https://www.instagram.com/yango.zambia (hereinafter referred to as the "Community"), and Facebook for the broadcast with the drawing of the main prize, the Organizer will publish a link to the broadcast on January 06, 2025.

1.7. The territory of the Promotion: Lusaka, Zambia.

1.8. The Participants of the Promotion are informed by posting a link to these terms and conditions and information about the Promotion in the Application and/or Community during the period specified in paragraph 3.2 of these terms.

1.9. The Organizer reserves the right to make changes to these terms and conditions. In the event of an extension of the Promotion, an increase in the number of Prizes, or other changes to the terms of the Promotion, the Organizer will publish such changes and new terms and conditions in the Community.

2. Definitions of terms used in the text of these terms

2.1. Participants of the Promotion (hereinafter referred to as the "Participant") — Users who have performed the Actions specified in clause 4.1 of these terms and comply with all provisions of these terms.

2.2. Users — persons using the Yango Food/Yango Taxi services under the terms and conditions stipulated in the user agreement of the Food/Taxi service, posted on the Internet at the links https://yango.com/legal/deli_termsofuse and https://yango.com/legal/yango_termsofuse, respectively for Food and Taxi.

2.3. Winner of the Promotion Prize (hereinafter referred to as the "Prize Winner") — a Participant of the Promotion who has the right to receive the Prize in accordance with the provisions of these terms.

2.4. Social network — the Instagram social network, posted on the Internet at the address: https://www.instagram.com.

3. Duration of the Promotion and Prize collection time

3.1. The total duration of the Promotion: from November 18th, 2024 to January 6th, 2025 inclusive. The total duration of the Promotion specified in this clause of the terms includes the time required for Participants to complete Actions and the time required for the winners to collect the Weekly Prizes from the Organizer in Lusaka.

3.2. Actions required to participate in the Promotion Participants must complete within the following timeframes (Lusaka time):

Week 1: 18/11-24/11 (orders from 18.11 00:00 to 24.11 23:59 (local ZM time) — giveaway on 02/12

Week 2: 25/11-01/12 (orders from 25.11 00:00 to 01.12 23:59 (local ZM time) — giveaway on 09/12

Week 3: 02/12-08/12 (orders from 02.12 00:00 to 08.12 23:59 (local ZM time) — giveaway on 16/12

Week 4: 09/12-15/12 (orders from 09.12 00:00 to 15.12 23:59 (local ZM time) — giveaway on 23/12

Week 5: 16/12-22/12 (orders from 16.12 00:00 to 22.12 23:59 (local ZM time) — giveaway on 30/12

Week 6: 23/12-29/12 (orders from 23.12 00:00 to 29.12 23:59 (local ZM time) — giveaway on 06/01

06.01 — main prize giveaway (orders from 18/11 00:00 to 29/12 23:59 (local ZM time))

3.3. The organizer will deliver the main prize upon completing the necessary registration processes, and the winner will be informed once these are finalized.

3.4. The Organizer determines the Prize Winners and posts information about them seven times during the Advertising Campaign: December 2nd, 2024, December 9th, 2024, December 16th, 2024, December 23th, 2024, December 30th, 2024, January 06th, 2025.

3.5. The Organizer provide the Weekly Prizes for collection by the Owners no later than January 31st, 2025.

4. Procedure for registering for participation in the Promotional Campaign, procedure for holding the Promotional Campaign, procedure for determining the Prize Winners.

4.1. To register as a Participant, the User must, between 18.11.2024 and 29.12.2024:

— Be or become a registered User in Zambia;

— During the time periods specified in paragraph 3.2. of these terms, click on the "Participate" field on the main page of the Application and place orders in the Application for an amount of at least 150 kwacha for the "Food" service and any amount for the "Taxi" service, including the cost of assembly, delivery and service fee.

— To participate in the weekly prize giveaways, the user must make at least 2 orders in the Food service (from 150 kwacha) and 1 order in the Taxi service and collect at least 3 points (1 point = 1 order) in total every week (contest weeks are specified in paragraph 3.2). To participate in the giveaway of the main prize, the user must make at least 5 orders in the Food service (from 150 kwacha) and 7 orders in the Taxi service and collect at least 20 points in total. For one food order, a user can receive several points (if he orders for K250 - 2 points, K350 - 3 points, K450 and above - 4 points). The more orders the Participant makes, the greater the chance of winning a prize. Each order receives an individual number participating in the Promotion.

— When placing an order under the above conditions in the Application from partners marked with a Chance x2, the order's chances of receiving a prize are accordingly doubled due to the assignment of not one, but two or three serial numbers to such orders.

In order to determine the winners, within the timeframes specified in paragraph 3.2. of these terms and conditions, the Organizer downloads the database of orders made in accordance with the terms of the Promotion (order number, Participant's phone number, full name if available, email if available), and assigns them a serial number based on the time the order was made and in accordance with the conditions specified in this paragraph 4.1.

4.2. The set of actions performed by the Participant in accordance with paragraph 4.1 of these terms and conditions are hereinafter referred to as "Actions".

4.3. Special conditions

4.3.1. In the event of the Prize Winner's refusal of the Prize, the Organizer reserves the right to dispose of such Prize at its own discretion.

4.3.2. Each Prize Winner confirms their consent that if they are awarded the Prize, information about the fact of winning, as well as their images made publicly available for the purposes of participating in the Promotion, their first name, last name, patronymic (if any) and interviews may be published (including in the media and advertising materials of the Organizer or service provider distributed in Zambia under the Yango® trademark). Each Prize Winner grants the Organizer the right to use his/her images, interviews or other materials about him/her related to his/her participation in the Promotion for the purposes of conducting the Promotion and collecting the Prize, as well as when distributing advertising information about the Promotion without time limitation and without the Organizer paying the Prize Winner any additional remuneration.

4.3.3. The Participant gives his/her consent to the publication (disclosure) and dissemination to the public on the Internet, as well as the further use of his/her Work for the purposes of creating derivative and composite works of an advertising nature by the Organizer, as well as Yango LLC.

5. Procedure for determining the Prize Winners and the procedure for notifying the Prize Winners of their winnings

5.1. During the period specified in paragraph 3.3 of these terms and conditions, the Organizer posts information about the Prize Winner by publishing it in the Community and by sending a personal message to the Prize Winner using a mobile number or email.

5.2. Procedure for determining the Prize Winner: The Prize Winner is recognized as 36 (thirty-six) Participants of the Advertising Promotion who meet all the provisions of these terms and conditions and who have completed all Actions, using a random number generator (https://www.random.org). On the days of announcing the results of the Advertising Promotion, specified in paragraph 3.3 of these terms and conditions, the Organizer announces the Winner (5 Winners for each week of the competition, specified in paragraph 3.2) of the Advertising Promotion on the Social Network in the format of a screen recording of the broadcast, as well as 1 (one) winner of the main prize. The winner of the main prize, who meets all the wishes of these terms and conditions and has completed all the Actions, will be selected using lottery mechanics live on Facebook.

5.3. The Prize Winner shall be notified of the win by a third party having a contractual relationship within the framework of the promotion with the Organizer (hereinafter referred to as the “Counterparty”) using a mobile number or e-mail.

5.4. No later than 3 (Three) calendar days from the date of receipt of the notification of the win in accordance with clause 5.1 of these terms, the Prize Winner undertakes to send the following information about himself/herself / documents to the e-mail address of the Counterparty specified in the notification of the win:

— Full name, phone number and e-mail address of the Prize Winner;

— the residential address of the Prize Winner, including the city and region of residence, which will be given solely for the purpose of collection the Prize;

— other information necessary for collection of the Prize, at the additional request of the Counterparty. Technical requirements for copies of documents: image in one of the following formats: JPG, JPEG, GIF, PNG, TIF, TIFF with a resolution of at least 100 DPI, no more than 5 (Five) megabytes in size: all document details must be clear with legible letters and numbers.

5.5. The Prize Winner is solely responsible for the accuracy of the information and data provided. The data provided by the Prize Winner must be confirmed by documents upon the first request of the Organizer and/or the Counterparty.

5.6. If the Prize Winner fails to submit (not present) all the necessary documents and information specified in paragraph 5.4 of these terms and conditions within the time period specified in paragraph 5.4 of these terms and conditions, the Prize subject to transfer to its Winner is deemed unclaimed and the Organizer shall then employ the procedure outlined in paragraph 9.4 below.

5.7. The information specified in paragraph 5.4 of these terms and conditions is provided by the Prize Winner to the Organizer and/or the Counterparty for the purpose of collecting the Prizes, and the information shall not be used for any other purpose. The Prize Winner consents to the use of their information for this purpose.

6. Prize Fund of the Promotion

6.1. The prize fund of the Promotion consists of 30 (Thirty) weekly prizes and 1 (One) main prize, namely:

— JBL Charge 5 — 6 (Six) units;

— Apple Watch SE 2 — 6 (Six) units;

— Beats Studio 3 — 6 (Six) units;

— AirPods 2nd Gen — 6 (Six) units;

— FERRE 4 PLATE GAS STOVE — 6 (Six) units;

— Renault KWID — 1 (One) unit.

The color, memory capacity and other characteristics of each prize are determined at the discretion of the Organizer. The total value of the prizes is no more than ZMW 1,060,000 (one million sixty thousand Zambian Kwacha) including all applicable taxes.

6.1.1. The guaranteed prize is free delivery on the next food order for those who have made their first taxi ride within the competition. The guaranteed prize will be credited after the taxi ride is completed. The guaranteed prize must be used by the user within seven days from the date of receipt.

6.2. The Promotion Prize specified in clause 6.1 of these terms and conditions is hereinafter referred to as the "Prize".

6.3. The Organizer of the Promotional Event undertakes to pay the tax in the tax period in cash and in kind on the income received by the Winner at the rate stipulated by the current tax legislation of Zambia. In relation to the Prize that includes a cash portion, the Organizer will withhold from the cash portion of such Prize and transfer to the revenue authority, the applicable amount of income tax for the charge year that the Winner of the Prize would be liable to pay.

6.4. Prizes can be replaced at the discretion of the Organizer with those of equivalent value and may differ in appearance from their images in the advertising materials of the Promotional Event.

6.5. The prize fund of the Promotional Event is formed at the expense of the Organizer and is used exclusively for collection of Prizes by the Winners. The Organizer is prohibited from encumbering the Prize Fund of the Promotion with any obligations, except for obligations to the Prize Winners regarding the collection of Prizes, and from using the funds of the Prize Fund of the Promotion for purposes other than the collection of Prizes.

6.6. The Organizer will deliver the main prize using the services of a courier delivery service. The Organizer is not responsible for the actions (or inactions) of the courier service and for the time it takes for the Prize to be received by its Winner. The Organizer provides 1(one) prize only 1 (One) time. The Organizer does not provide an unclaimed / uncollected Prize for any reason. The Organizer is not responsible if the Prize was not collected by its Winner, including the following reasons: in the event of the absence of the Prize Winner at the collection address at the agreed time and date of delivery, the impossibility of contacting the Prize Winner, etc.

6.7. The Prize Winner undertakes to sign all documents provided by the Organizer (receipt of receipt of the Prize, consent to the processing of personal data, etc.) at the time of receiving the Prize. The Organizer reserves the right not to issue the Prize until the Prize Winner signs the documents provided by the Organizer or to demand the return of the previously transferred Prize if the Prize Winner refuses to sign the documents.

6.8. The guaranteed prize for participation in the Promotion is free delivery for the next order made in the Yango Food/Taxi services via the Application.

7. Participants’ accession to these terms and conditions of the Promotion:

7.1. Each Participant’s performance of the Actions specified in paragraph 4.1 of these terms and conditions shall constitute confirmation of his/her accession to these terms and conditions. In connection with the above, the Participant confirms his/her full agreement with all provisions of these terms and conditions, the fact of understanding all terms and conditions of these terms and conditions and consent that the Organizer has the right to unilaterally amend these terms and conditions without prior written notice to each Participant. The Participant, in any case, has no right to demand amendments to these terms and conditions.

8. Rights, obligations and responsibilities of the Participants of the Promotion:

8.1. All Participants undertake to comply with the terms and conditions of these terms and conditions.

8.2. Each Participant has the right to receive the Prize, subject to compliance with the provisions of these terms and conditions and if he/she is determined by the Organizer as the Prize Winner.

8.3. Each Participant takes into account that during the Promotional Event, in accordance with these terms, it is prohibited to publish, distribute or otherwise bring to the attention of Social Network Users any information that:

— contains threats, discredits, insults, defames the honor and dignity or business reputation, or violates the privacy of other Participants, users of Social Networks or other third parties;

— violates the rights of minors;

— is vulgar or obscene, contains obscene language, contains pornographic images and texts or scenes of a sexual nature involving minors;

— contains scenes of violence or inhumane treatment of animals;

— contains a description of the means and methods of suicide, any incitement to commit it;

— promotes and/or contributes to the incitement of racial, religious, ethnic hatred or enmity, promotes fascism or the ideology of racial superiority;

— contains extremist materials;

— promotes criminal activity or contains advice, instructions or guidelines on committing criminal acts,

— contains restricted information, including, but not limited to, state and commercial secrets, information about the private lives of third parties;

— contains advertising or describes the attractiveness of drug use, information about the distribution of drugs, recipes for their manufacture and advice on use;

— is fraudulent;

— and also violates other rights and interests of individuals and legal entities, the terms of use of the Social Network and/or the requirements of the current legislation of the Republic of Zambia.

8.4. All Participants independently pay for all expenses incurred by them in connection with participation in the Advertising Campaign (including, without limitation, expenses related to Internet access).

8.5. All Participants acknowledge and accept that the Promotion is only applicable to the Participating Restaurants listed in Appendix 1.

8.6. All Participants acknowledge and accept that the Participating Restaurants reserve the right to decide their level and style of participation in the Promotion, and that the Participants are not entitled to any discounts or benefits other than those which the Participating Restaurants choose to give.

9. Rights, obligations and responsibilities of the Organizer

9.1. The Organizer undertakes to conduct the Advertising Promotion and determine the Prize Winners among the Participants of the Advertising Promotion.

9.2. The Organizer shall not be liable for failure to fulfill or improper fulfillment of its obligations resulting from failures in telecommunications and energy networks, actions of malicious programs, as well as unfair actions of third parties aimed at unauthorized access and/or disabling the software and/or hardware complex of the Organizer.

9.3. The Organizer shall not be liable for any damage incurred by the Participant / Prize Winner as a result of their use of the Prize and/or participation in the Advertising Promotion, if the damage was not caused by the fault of the Organizer.

9.4. The Organizer shall not be liable if the Prize Winner provides unclear or erroneous data. In this case, as well as if the Prize Winner fails to send the Organizer the documents and information specified in paragraph 5.4 of these terms and conditions within the timeframes specified in 5.4 of these terms and conditions, the Organizer has the right to use the Prize at its own discretion, including issuing it to another Participant.

9.5. The Organizer’s decisions on all matters related to the Advertising Promotion are final and not subject to revision.

9.6. The Organizer reserves the right to post additional information about the Advertising Promotion.

9.7. The Organizer’s obligations regarding the quality of the Prize are limited to the warranties provided by its own manufacturers, if any.

9.8. The Promoter, in its sole discretion, may invalidate all entries and prohibit further participation in the Promotion from any person who tampers with or benefits from tampering with the registration process for the Promotion or the conduct of the Promotion, acts in breach of these terms and conditions, acts in a disruptive manner, or acts with the intent to harass, abuse, threaten or disturb any other person who may be associated with this Promotion.

9.9. If for any reason any aspect of this Promotion is not capable of running as planned, including reasons caused by computer viruses, internet failures, defects, manipulation, unauthorized intervention, tampering, technical failures or any cause beyond the control of the Organizer that corrupts or affects the performance, security, fairness, integrity or proper conduct of the Promotion, the Organizer has the right, at its sole discretion, to cancel, terminate, modify or suspend the Promotion.

9.10. All questions are addressed in the standard feedback form of the Yango service.

9.11. The Organizer reserves the right to introduce additional technical restrictions at any time to prevent unfair manipulation of the number of Actions performed by a certain Participant. In the event of detection of any attempt to unfairly manipulate the number of Actions performed by a certain Participant, such Participant may be suspended from participation in the Promotion without explanation and prior notice. The Organizer shall independently assess the good faith of the Actions performed by a certain Participant based on the technical capabilities available to the Organizer.

9.12. The Organizer shall have the right to refuse to issue the Prize in the event of non-compliance by the Participant/Prize Winner with any of the conditions established by these terms.

9.13. The Organizer shall have the right to use the unclaimed Prize at its own discretion, subject to paragraph 9.3.

10. The procedure for processing and storing personal data of the Winners of the Promotional Prize, consent of the Winner of the Promotional Prize to the processing and storage of personal data.

10.1. Each Prize Winner gives their consent to the processing and storage of their personal data carried out by the Organizer for the purpose of awarding the Prize. The Organizer hereby guarantees that all personal data provided by the Prize Winner will be stored and processed in accordance with the provisions of the current legislation of Zambia. The Prize Winner gives their consent to the transfer of their personal data by the Organizer to Yango Delivery FZ-LLC for the purpose of monitoring the provision of prizes and interaction with the Prize Winner.

The Prize Winner has the right to revoke their consent to the processing of personal data in whole or in part by sending a corresponding notice to the Organizer’s address specified in paragraph 1.3 of these terms and conditions. Revocation of consent to the processing of personal data makes it impossible to receive the Prize. In this case, the Organizer has the right to refuse delivery of the Prize to the Prize Winner or demand its return, if the relevant Prize was previously claimed/received by the Prize Winner. After receiving the Prize Winner’s notification of withdrawal of consent to the processing of personal data, the Organizer is obliged to stop processing them and, if the storage of personal data is no longer required for the purposes of processing personal data by law, destroy the personal data or ensure their destruction (if the processing of personal data is carried out by another person acting on behalf/assignment of the Organizer) within a period not exceeding 90 (Ninety) calendar days from the date of receipt of the said withdrawal, except for cases when the Organizer has the right to process personal data without the consent of the personal data subject on the grounds provided for by the Data Protection Act, No. 3 of 2021.

10.2. The consent to the processing of personal data is provided by the Prize Winner to the Organizer for the entire duration of the Promotion and until the expiration of 5 (Five) years after its completion.

10.3. The processing of personal data will be carried out by the Organizer in compliance with the principles and rules stipulated by the Data Protection Act, 2021.

10.4. For the purposes of these terms and conditions, «personal data» means the personal data of the Prize Winner — and includes all such information and data defined in the Data Protection Act, 2021. In these terms and conditions, the processing of personal data means any action (operation) or set of actions (operations) performed with the use of automation tools or without the use of such tools with personal data, including collection, recording, systematization, accumulation, storage, clarification (updating, modification), retrieval, use, depersonalization, blocking, deletion, destruction of personal data provided by the Prize Winner for the purpose of delivering the Prize to him.

10.5. The Organizer guarantees the necessary measures to protect personal data from unauthorized access. All personal data provided by the Prize Winner for the purpose of receiving the Prize will be stored and processed by the Organizer in the territory of Zambia, in accordance with the current legislation of the Republic of Zambia and in compliance with the guarantees specified in these terms.

10.6. The Organizer undertakes to comply with the following rules and provide the Prize Winner with the following guarantees regarding the processing of personal data:

— ensure the processing of personal data in compliance with all applicable requirements of the Zambian legislation in the field of personal data protection, including compliance with the principles, requirements, and obligations of the personal data operator established by the Data Protection Act, 2021.

— process personal data only to the extent and for the purpose of awarding the Prize. The use and other types of processing of personal data for the purpose of informing personal data subjects about any products and services, as well as for any other purposes, is permitted only to the extent and in cases stipulated by the Data Protection Act, 2021.

— if the Organizer, in order to fulfill its obligations to the Prize Winner, must transfer or otherwise disclose the personal data of the Prize Winner to third parties — carry out the specified actions in compliance with the requirements of the Data Protection Act, 2021.

— be responsible for the protection and ensuring the security and confidentiality of the personal data of the Prize Winner when processing them in accordance with the requirements of the Data Protection Act, 2021 and all other similar legislation.

10.7. The Organizer processes and stores personal data of the Prize Winner only. Collection, processing and storage of personal data of other Participants of the Promotion who are not the Prize Winner of the Promotion is not carried out.

11. Final provisions

11.1. Participation in the Promotion automatically implies familiarization and full consent of the Participants with all the provisions of these terms.

11.2. TAll disputes concerning the Promotion are regulated on the basis of the provisions of the current legislation of the Republic of Zambia.

11.3. Payment of the monetary equivalent of the value of the Prize or its replacement with other Prizes at the request of the Participants of the Promotion/the Prize Winner of the Promotion is not allowed.
